Setting up Business in Bangladesh — Liaison Office and Representative Office

In Bangladesh many foreign businesses do not wish to open subsidiary company. These companies can open Liaison office or Branch office. Liaison office and Branch office permission is provided by Bangladesh Investment Development Authority (BIDA).

The application is to be made online and required documents include a board resolution from the parent company, MoA&AA of the parent company and personal details of the Directors of the parent company. All documents need to be attested by Bangladesh Consul Office of the parent company country.

Liaison office cannot conduct any business in Bangladesh and cannot generate profit. However, a branch office can conduct limited business. A liaison office or branch office once obtaining permission from BIDA also requires to obtain a trade license, ETIN and VAT registration (for branch office).

Branch office cannot set up factories nor can it conduct import or export business but may get involved in consultancy business or work as a contractor to Government or private organizations. Both liaison office and branch office can open bank account and employ local and foreign workers.
